These Terms and Conditions ("Terms") govern your access to and use of the SahoLabs website at https://saholabs.com and any related publicly available services, content, and features (collectively, the "Site") provided by Saho Labs, Inc. ("SahoLabs," "we," "us," or "our"). SahoLabs provides operational intelligence software for Indian MSMEs.

If you are a customer using the SahoLabs platform under a paid order, your use of the SahoLabs platform is governed by the Master SaaS Terms of Service.

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to use the Site. By using the Site, you represent that you meet this requirement and that your use of the Site does not violate any applicable law.

2. Acceptable Use

You agree not to (and not to allow any third party to):

• Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of any software underlying the Site.
• Interfere with or disrupt the integrity or performance of the Site, including by transmitting viruses, malware, or any other harmful code.
• Access the Site through automated means (including scraping, crawling, or bots) other than via well-behaved search engine indexing.
• Use the Site to develop, train, or fine-tune machine learning or AI models without our express prior written permission.
• Misrepresent your identity or affiliation, or impersonate SahoLabs or any SahoLabs employee, contractor, or representative.
• Attempt to bypass security or access controls, or to access portions of the Site you are not authorized to access.
• Use the Site to harass, abuse, or harm another person, or to collect or harvest personal data about others.

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms.

3. Intellectual Property

The Site and all content, features, and functionality on it — including text, graphics, logos, images, audio, video, sample dashboards or analytics shown for illustrative purposes, software, and the SahoLabs name and logo — are the property of Saho Labs, Inc. or its licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes, subject to your compliance with these Terms. All rights not expressly granted are reserved.

4. Trademarks

"SahoLabs", the SahoLabs logo, and other SahoLabs marks are trademarks of Saho Labs, Inc. You may not use these marks without our prior written permission, except as needed to make truthful references to SahoLabs (e.g., descriptive use). Other names, logos, and marks on the Site are the property of their respective owners.

5. User Submissions and Feedback

If you submit any content, ideas, suggestions, or feedback to us through the Site (e.g., via contact forms, demo requests, or research newsletter signups), you grant us a worldwide, royalty-free, perpetual, irrevocable, fully sublicensable, transferable license to use, reproduce, modify, publish, and distribute that content for any purpose, without compensation or attribution to you. You represent that any content you submit does not infringe any third-party rights.

6. Third-Party Links and Services

The Site may contain links to third-party websites and services. We do not control, endorse, or assume responsibility for any third-party websites, services, or content. Your access to and use of any third-party site or service is at your own risk and subject to that third party's terms.

7. Disclaimers

THE SITE AND ALL CONTENT AND MATERIALS ON IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SAHOLABS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Site will be uninterrupted, secure, or error-free; that defects will be corrected; or that the Site or the servers that make it available are free of viruses or other harmful components. Information on the Site, including any descriptions of products, services, or analytics, is provided for informational purposes only and may change without notice. Any sample dashboards, metrics, or visualizations shown on the Site are illustrative and are not warranted for any particular use.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SAHO LABS, INC. OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SAHOLABS HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SAHO LABS, INC. AND ITS AFFILIATES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE IS LIMITED TO ₹10,000 (or the equivalent of $100 USD, whichever is greater).

9. Indemnification

You agree to defend, indemnify, and hold harmless Saho Labs, Inc., its affiliates, and its and their officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms; or (c) your violation of any rights of another person or entity, including intellectual property rights.

10. Termination

We may terminate or suspend your access to the Site at any time, with or without notice, for any reason — including if we believe you have violated these Terms. Upon termination, your right to access and use the Site will immediately cease. The provisions of these Terms that by their nature should survive termination will survive (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability).

11. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Your continued use of the Site after the changes take effect constitutes your acceptance of the updated Terms.

12. Governing Law and Venue

These Terms are governed by the laws of India, without regard to its conflict of laws principles. You and Saho Labs, Inc. submit to the exclusive jurisdiction of the competent courts in India for resolution of any lawsuit or court proceeding permitted under these Terms.

13. Miscellaneous

These Terms, together with the Privacy Policy and (where applicable) the Master SaaS Terms of Service, constitute the entire agreement between you and Saho Labs, Inc. with respect to the Site. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
